1. Acceptance of Terms

Welcome to PropertyCtrl. These Terms of Service ("Terms") govern your access to and use of the PropertyCtrl website, applications, and property management software platform (collectively, the "Service") operated by PropertyCtrl ("we," "our," or "us").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

PropertyCtrl is a software-as-a-service (SaaS) platform designed to help landlords and property managers:

  • Manage rental properties and units
  • Track tenant information and lease agreements
  • Record and categorize financial transactions
  • Generate financial reports for tax purposes
  • Manage maintenance requests and vendors
  • Store property-related documents

The Service is provided on a subscription basis. Features may vary based on your subscription plan.

3. Account Registration and Security

To use the Service, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access to your account

You are responsible for all activities that occur under your account. We recommend enabling two-factor authentication (2FA) for enhanced security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Subscription and Payments

4.1 Subscription Plans

New users receive a 14-day free trial. After your trial, continued access to the Service requires a paid subscription. We offer three plans—Starter, Pro, and Business—with pricing and features described on our pricing page. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

4.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan). Payment is processed securely through Stripe. By subscribing, you authorize us to charge your payment method for recurring fees.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods, except as required by law.

4.4 Free Trials

We offer a 14-day free trial with full access to Pro features. No credit card is required to start your trial. When your trial ends, your account will be paused until you select a paid plan. Your data will be preserved for 30 days after your trial expires.

5. User Content and Data

5.1 Your Data

You retain all ownership rights to the data you enter into the Service ("User Content"), including property information, tenant data, financial records, and uploaded documents. We do not claim ownership of your User Content.

5.2 License to Use

By using the Service, you grant us a limited license to host, store, process, and display your User Content solely for the purpose of providing the Service to you. This license terminates when you delete your User Content or account.

5.3 Data Accuracy

You are responsible for the accuracy and legality of the data you enter. The Service relies on information you provide. We are not liable for errors in reports or calculations caused by inaccurate input data.

5.4 Data Export

You may export your data at any time using the export features available in the Service. We recommend maintaining regular backups of your important data.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Store or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other systems
  • Interfere with or disrupt the Service's operation
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the Service for any fraudulent or deceptive purpose
  • Engage in discriminatory housing practices prohibited by law

Violation of these terms may result in immediate termination of your account.

7. Intellectual Property

The Service, including its software, design, features, documentation, and branding, is owned by PropertyCtrl and protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or other brand elements without prior written permission.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy of financial calculations or reports

Important: PropertyCtrl is a property management tool, not a substitute for professional advice. The Service does not provide:

  • Legal advice (consult a licensed attorney)
  • Tax advice (consult a qualified tax professional or CPA)
  • Financial or investment advice
  • Guarantees of compliance with local landlord-tenant laws

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPERTYCTRL SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from your use or inability to use the Service
  • Errors in financial reports, tax calculations, or other outputs
  • Actions or omissions of third parties

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless PropertyCtrl and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Content.

11. Termination

We may suspend or terminate your access to the Service at any time if:

  • You violate these Terms
  • Your payment fails and is not resolved within a reasonable period
  • We are required to do so by law
  • We discontinue the Service (with reasonable notice)

Upon termination, your right to use the Service ends immediately. You may request an export of your data within 30 days of termination. After that, we may delete your data in accordance with our data retention policies.

12. Dispute Resolution

If you have a dispute with us, please contact us first to attempt to resolve it informally. If we cannot resolve the dispute within 60 days, either party may pursue formal resolution.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PropertyCtrl is registered, without regard to conflict of law principles.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

14. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and PropertyCtrl.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right does not waive that right.
  • Assignment: You may not assign your rights under these Terms. We may assign our rights to a successor entity.
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
